1. General Points

1.1 These General Terms and Conditions of Sale and Delivery apply to all product sales by Labio Medical AB. By entering into a contract or placing an order, the Customer agrees to these General Terms and Conditions of Sale and Delivery.

1.2 The Customer’s conflicting purchase terms and conditions are not applicable, even if not explicitly objected to.

1.3 Individual agreements, stipulations, and amendments are possible, but they must be explicitly confirmed in writing by Labio Medical AB to be effective.

2. Conclusion of the Contract

2.1 Offers from Labio Medical AB are subject to change without notice and are not binding. Contractual relationships are established upon order confirmation by Labio Medical AB and/or product delivery.

2.2 The content of the contract, particularly service scope, is determined by Labio Medical AB’s order confirmation. Changes to these General Terms and Conditions of Sale and Delivery require written approval from Labio Medical AB.

2.3 Descriptions and technical specifications in product catalogues are not guaranteed attributes. Changes without notice are possible.

3. Delivery of Goods and Services

3.1 Deliveries originate from Europe, but not limited to Asia. Labio Medical AB is not responsible for ensuring product availability in the desired quantity and timeframe. Claims for damages due to delivery delays and supply shortages are excluded.

3.2 Force majeure events such as war, terrorism, natural disasters, epidemics, pandemics, fire, or unforeseeable circumstances not within Labio Medical AB’s control (e.g., governmental actions, strikes, disruptions, material procurement difficulties, or supplier shortages) extend delivery periods by the impediment’s duration plus a reasonable startup period.

4. Prices and Payment Terms

4.1 Prices are net prices excluding VAT. Discounts require written agreement. Currency and amount follow the order confirmation.

4.2 Labio Medical AB’s prices on the delivery date per the price list apply. Prices may change at any time without notice.

4.3 Prices generally cover transport, packaging, and customs duties, but specific arrangements can be made case by case.

4.4 Invoices and associated documents are sent to the Customer via unencrypted email without an electronic signature, unless agreed otherwise.

4.5 Invoices are due ten (10) days after the invoice date. After the deadline, the Customer is in default and incurs 8% interest. Labio Medical AB may defer or refuse further deliveries for late payments.

5. Confidentiality

5.1 Labio Medical AB and the Customer commit to not divulge any non-public information related to contractual terms (including prices and discounts), as well as business and trade secrets, which they acquire during the processing of product orders, to any third parties.

Labio Medical AB reserves the right to change the Terms and Conditions Statement. It is recommended to review it before proceeding with any inquiry.
